Welcome to Kelp Social
This document sets out our ongoing and future relationship with you as a user of the Kelp Social Platform.
These Terms of Service (“Terms”) govern your access to and use of our Services on Kelp Social, including our website, App, APIs, email notifications, applications, buttons, widgets, ads, and SMS that link to these Terms (together referred to as the “Services”).
When referring to Kelp Social we may also use the term ‘Platform’ when describing the collective use of the website and App together. It also includes any information, text, links, graphics, photos, audio, videos, and other materials uploaded, downloaded, or appearing on the Services (referred to as “Content”).
By using the Services, you agree to be bound by these Terms, our Privacy Policy, Site Terms, Platform Rules, and Community Guidelines.
You will be bound by the terms that govern the territory you joined the Platform from regardless of where you use the Platform.
1. Who May Use the Services
1.1 You may use the Services only if you agree to form a binding contract with Kelp Social and are not barred from receiving services under the laws of your applicable jurisdiction (United Kingdom).
1.2 Users must be at least 16 years old. If Kelp Social discovers an underage account, we reserve the right to terminate it immediately.
1.3 If using the Services on behalf of a company, organisation, or legal entity, you represent that you are authorised to do so and may bind that entity to these Terms.
2. Your Privacy
2.1 Our Privacy Policy explains how we collect, store, and use your data. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.
3. Content on the Services
3.1 You are responsible for the Content you provide, including compliance with all applicable laws.
3.2 You must only provide Content suitable for public sharing.
3.3 Any reliance on Content posted via the Services is at your own risk. Kelp Social accepts no liability.
3.4 Kelp Social does not endorse content from unverified users, brands, or charities.
3.5 Harmful or Disturbing Content
You may be exposed to harmful, inappropriate, or disturbing content while using Kelp Social. We use WebPurify moderation with both AI and live moderators working 24/7 to monitor content and remove anything flagged as violating our rules. While we make every effort to catch and remove problematic content quickly, some items may temporarily slip through. Users are encouraged to report any content that breaches our guidelines so we can address it promptly.
3.6 Content is the sole responsibility of the user who posted it.
3.7 Kelp Social may remove Content that violates the User Agreement, including copyright or trademark violations, impersonation, harassment, or unlawful conduct.

3.9 Kelp Social does not endorse opinions expressed by users.
3.10 Using the Services also requires acceptance of Platform Rules, Terms of Use, Privacy Policy and Community Guidelines.
3.11 Content exclusive to Kelp Social may be featured at our discretion.
4. Your Rights and Grant of Rights in Content
4.1 You retain ownership of Content you submit, post, or display.
4.2 Licence to Use Content— By submitting Content, you grant Kelp Social a worldwide, non-exclusive licence to display, share, and promote your Content in connection with the Services, always crediting you as the author. This licence allows us to showcase and feature your contributions to help grow the community and support our mission, without altering the integrity of your original work.
4.3 This licence allows Kelp Social to promote, improve, and distribute your Content worldwide.
4.4 No compensation is owed for this licence.
4.5 You represent that you have the rights, permissions, and authority to grant this licence.
4.6 Rights to third-party content: you may not post copyrighted material without permission.
5. Using the Services
5.1 You must comply with all Kelp Social policies, Terms, and applicable laws.
5.2 Kelp Social may update Services at any time.
5.3 We may temporarily or permanently stop providing Services or features.
5.4 Removal and Suspension—Kelp Social may remove Content or suspend/terminate accounts for legitimate reasons related to these Terms or the Community Guidelines. We will act fairly and in good faith, and are not liable for any actions taken in accordance with these Terms.
5.5 Advertising rights: by using the Services, you consent to Kelp Social displaying advertising content.
5.6 You may not introduce malware or harmful content.
5.7 Nuisance or hacking activity is prohibited.
5.8 Kelp Social is not liable for service interruptions beyond our control.
6. Your User Account
6.1 You must create and safeguard an account, using strong passwords.
6.2 You cannot opt out of essential service communications.
6.3 Updating contact info is your responsibility.
6.4 No refunds for services unavailable due to circumstances beyond Kelp Social’s control.
7. Your Licence to Use the Services
7.1 Feedback may be used at Kelp Social’s discretion.
7.2 Services are protected by copyright and trademark law.
7.3 You do not gain rights to use Kelp Social branding.
8. Ending These Terms
8.1 You may deactivate your account at any time.
8.2 Kelp Social may suspend or terminate accounts for breaches, legal risk, or commercial reasons.
8.3 Kelp Social will attempt reasonable notification of termination or changes.
9. Disclaimers and Limitations of Liability
9.1 Services are provided “as is” and “as available.”
9.2 Kelp Social accepts no responsibility for third-party liability.
10. Limitations of Liability
10.1 Liability is limited to the maximum extent allowed by law.
10.2 Refer to local law in your jurisdiction.
11.1 Governing Law & Jurisdiction
These Terms are governed by English law. Any disputes are subject to the exclusive jurisdiction of English courts.
11.2 Age Restrictions
Users must be at least 16 years old. Underage accounts may be terminated.
11.3 Content Authenticity & AI
Users must not post AI-generated or manipulated content in a misleading way, unless disclosed. Misleading content may be removed.
11.4 No Warranties
Services are provided without warranties; use is at your own risk.
11.5 Indemnity
You agree to take responsibility for your use of the Services and the content you post, and to cover reasonable costs only if your actions directly cause claims or legal issues for Kelp Social.
11.6 Force Majeure
Kelp Social is not liable for failure to perform due to events beyond reasonable control, including natural disasters, pandemics, strikes, or internet failures.
11.7 Limitation of Liability
Kelp Social is not liable for indirect, incidental, or consequential damages, loss of data or profits, or harm from other users’ content.
11.8 User-Generated Content Licence
By sharing content on Kelp Social, you give us permission to use it in connection with the Services, including promotion and display on the platform. You confirm that you have the necessary rights to share this content, and we will always credit you as the author.
